BREAKING NEWS  - SAENZ, MASSO AND ZAYAS ON THE BAD END
 
DA LUIS SAENZ SOLD 505 8 LINERS TO A GEORGIA COMPANY WITH GAMING SUBSIDIARIES IN BROWNSVILLE, TEXAS WHO HAVE CARLOS MASSO AND RICK ZAYAS LISTED AS THEIR REGISTERED AGENTS

I concede this is convoluted but stay with it.  I am probably over stating the links, but I am proof driven - plus I am really writing for the DOJ who I hope takes immediate action.

UPDATE AND SUMMARY:

EDITOR'S NOTE:  In my original post - before I did a final edit I used the word void as to the contract as opposed to saying it is voidable - which it is.  I made the corrections to remove any indication the contract is  void - but it is voidable.  I would hope that the second Sanez verifies they are not authorized to do business in Texas he will notify the AG so the AG can begin proceedings for a court to impose the necessary fines and penalties.

Okay this will be two posts - my original post and this quick summary.  You begin with the contract to sell the 8 Liners

According to the Secretary of State the purchaser relinquished their authority to do business in Texas in 2006.   The key players are a Paul Calamari and Keith S. Grybowski.  They are listed in the SOS documents I printed out.

Lowkes International Inc remains a valid corporation in Nevada with the same key players, but relinquished its authority to do business in Texas.

Tied to another company owned by the same people, Lowkes Manangement LLC, they also own interests in Grey Gaming LLC, whose registered agent is Cartlos Masso and is based in Brownsville and Grey Gaming Design LLC whose registered agent is Rick Zayas and is also based in Brownsville.

Rick Zayas negotiated the contract for the Lowkes International Inc which relinquished its authority to do business in Texas in 2006.  Rick Zayas clearly knew Lowkes whatever had gaming interests in Brownsville.  Given this reality it would not shock me that after the 8 Liners left Texas as per the contract, the truck turned around and headed back to the Valley.

Because Lowkes International is not authorized to do business in Texas they are subject to fines under the business code, and Luis Saenz can sue for fraud and major punitive damages.  They may not bring any legal action in Texas, but may defend against any legal action brought against them.

The DOJ needs to immediately begin a criminal investigation as to where these 8 Liners ended up.  Lowkes clearly new its real operations are in Texas and not Georgia as represented by Rick Zayas.  The use of Lowkes International Inc, a Nevada Corporation was to mislead DA Saenz into believing he was doing business with a Georgia based corporation.  The contract is valid in general terms but still subject to a suit for fraud and fraudulent inducement - it can be voided based on the fraud.

The DOJ needs to intervene immediately and DA Saenz needs to have his civil section immediately sue Lowkes International for fraud.  They had no legal authority to do business in Texas.  Had they used the real names of the Texas LLC's Saenz never would have sold them the 8 Liners, so they had to use Lowkes International [hence the fraud] so it appeared the 8 Liners were being sold to a Georgia company..  Major punitive damages are in order.  Further, the DOJ needs to jump on this fast for possible criminal prosecution.

Carlos Masso denies any knowledge of the deal.  Of course Rick Zayas cannot make such a denial because the contract says he represented Lowkes International Inc, which according to the SOS had no legal authority to do business in Texas, but provided the appearance Saenz was selling the 8 Liners to a Georgia company.

I will further develop the story, but Carlos Masso took my call and confirmed part of the story while denying knowledge of the sale of the 8 Liners,  He confirmed that Grey Gaming is part of Lowkes International and that he is the registered agent for a Grey Gaming based in Brownsville, Texas.  This is different from Grey Gaming Design wherein Rick Zayas is the registered agent.

"Grey Gaming LLC filed as a Domestic Limited Liability Company (LLC) in the State of Texas on Monday, July 9, 2012 and is approximately three years old, as recorded in documents filed with Texas Secretary of State. The filing is currently active as of the last data refresh which occured on Tuesday, December 3, 2013.

Key People

Paul Calamari serves as the Director and has interests in other corporate entities including Lowkes Management LLC, Grey Games Design LLC .
Ewan Macpherson is the Director of Grey Gaming LLC. Ewan's additional corporate interests include Grey Games Design LLC located in Brownsville, TX .

The Managing Member of Grey Gaming LLC was Robert Cuellar. . Robert has other corporate interests including No Limit Vending and Sales, L.L.C., Lgc Holdings, L.L.C. , and Grey Games Design LLC .

The registered agent for the company [Grey Gaming] is Carlos R. Masso Attorney at Law. Also known as a statutory or resident agent, the registered agent is responsible for receiving legal notifications regarding court summons, lawsuits, and other legal actions involving the corporate entity."

This is beyond bizarre - it is getting beyond human comprehension - the contract says Lowkes is a Nevada Corporation.  Key  - Corporation - the only Lowkes International Inc listed with the Texas Secretary of State surrendered its authority to do business in Texas in 2006.  Keith Grybowski filed the paperwork.

Lowkes Management LLC filed as a Domestic Limited Liability Company (LLC) in the State of Texas filed on Thursday, December 27, 2001. This corporation is approximately fourteen years old according to documents filed with Texas Secretary of State. Lowkes Management LLC also lists Keith S. Grybowski as Director.

Paul Calamari's additional active roles include:

Paul Calamari is connected to other officers through these corporate roles. One of the top connections is Keith S. Grybowski "

The link between Grybowski and Calamari is key.

I confirmed with a Secretary of State search that Lowkes Management LLC lists two directors - Paul Calamari and Keith S. Grybowski.  Their registered agent is Rick Zayas.  They are a Texas Corporation.  But Lowkes International the Nevada Corporation [listed in the contract] gave up their rights to do business in Texas in 2006.  This is an important point of law.  They are subject to fines,  and DA Saenz can sue the entire lot for fraud and major punitive damages.

Grey Gaming LLC also lists Ewan Macpherson as Director, in addition to Paul's role of Director. This corporation was registered eleven years after Lowkes Management LLC as a Domestic Limited Liability Company (LLC) in the State of Texas on Monday, July 9, 2012.

Carlos Masso denied any knowledge of Lowkes buying the 8 Liners from DA Saenz's office.  When I saw Rick Zayas represented Lowkes I knew I had to investigate.  The BV protects no one - you get your information - you research - you confirm and then you publish.

With Montoya he would never find this story because his only goal was to make it appear like Saenz sold the machines to give Melissa Landin a raise - his obsessions keep him from ever getting to the real story.

There is more than one Grey Gaming tied to Lowkes:  The other lists Rick Zayas as the registered agent.  Rick represented Lowkes in the contract negotiations.  He knew these machines could be coming right back to Texas.

Also I have no idea who wrote this contract - but at even a 5th rate law school the professor would give it an "F."

You will note Rick Zayas negotiated for Lowkes.  Rick knew about the local gaming companies wherein Paul Calamari had an interest.  Paul Calamari signed the contract for Lowkes.

According to Chatham county Georgia the address on the contract is a house owned by a Valarie Calamari. Click for link

A point about the law, it is routine for a lawyer who sets up an LLC or corporation for an annual fee to be listed as the registered agent.  This basically means that if the company is sued then the plaintiff must have the registered agent served with the lawsuit.  In some cases, if there is insurance the case is then sent on to the insurance company, or the lawyer registered agent represents the company.

Given the fact DA Saenz's office sold the 8 Liners to a company operating two gaming subsidiaries in Brownsville, Texas, then it is very possible all of the machines are in fact operating again in Texas and possibly Starr county.

This is how you develop a story. You do not just throw garbage out there and hope it sticks, because someone is paying you money has a score to settle with Melissa Landin..

I was initially nervous about posting until Carlos Masso confirmed the link, while denying any knowledge that Lowkes International bought the machines.  But then I spent a fortune on SOS searches and verified each claim herein.

I do have an emergency call into Luis Saenz in hopes for a comment from his office on the matter. If he chooses I will post his comment tomorrow.

No one can possibly accuse Saenz of intentionally selling the machines to a company with two subsidiaries in Brownsville wherein Carlos Masso is at least one of their registered agents.  But as a community we can certainly say - someone failed big time in investigating this company before DA Saenz agreed to the sale.

A quick note before I post my proof the owners in Georgia have already downloaded the story.

Before I started my research I was talking with someone and said that the problem with Montoya is he has no idea how to develop a story because with him it is always his obsession to settle a score for someone willing to pay him to post crap.

No one is going to give a crap if Saenz used money from the sale of the 8 Lines to give someone a raise - but that is all Montoya cared about because that is what he was being paid to print.

I told this person it would never occur to Montoya that the Georgia company could simply resale the machines to a company which in turn got them sold back to Texas - and that was exactly my next step.

Once I started with 5 minutes I saw the scam but then need time to prove things through the SOS office because I do not necessarily trust corporate information posted by organizations which track such things.

Once Masso verified the links I posted the first part and then started to download the evidence from the SOS office - and you know what - no one pays me - no one will pay the SOS bill for the research -

Now if a simple google search of this company within 5 minutes showed the entire conspiracy - my question is - did the person in Saenz office responsible for this contract do anything to verify this company was real and who he was dealing with? the answer is no - and Saenz should fire this person today. The FBI should have this person in their office today. They need a subpoena on Saenz's and Zayas' office for all electronic communications and letters related to the deal.

Okay here you go - the Georgia owners downloaded the story - also too many state and federal downloads to post everything.

People are talking about the new federal task force to undo the corruption. It is not new - the BV broke that story about 3 years ago - it does not make it new just because they had to come out of the closet when the mainstream media started to ask questions.

I did a story maybe three years ago that they were renting a hotel suite in McAllen. My source had already met with them- it related to a BISD insurance deal.

Look guys the local FBI and DOJ are as corrupt as Villalobos and Limas - Oscar de la Fuente walked even in state court where he had no immunity. ODLF had too much on the corruption of the local DOJ lawyers so Saenz could not prosecute him - that is the story.

Do you honestly believe that after all of those confessions of criminal conduct by ODLF the State Bar has not sued him for disbarment unless the DOJ ran interference for him?

This task force knows of the cover-ups - they know about the federal judge wife Diane Dillard's part in the Galonsky mess and cover-up - she cannot be touched because the local FBI and DOJ are part of the corruption.

If Washington could maybe triple the number of DOJ and FBI agents assigned to this task force they might be able to do something.

Think about it 3 years they have been here and nothing - it is time Washington investigate the new so called task force to determine why after three years they have failed to bring charges against one person.

It's a joke.

If they had a mindset they could have subpoenas on Lowkes and Saenz today to track where the 8 Liners ended up. It will take months of discussions which will be based on - who needs to be protected.

Bobby you are right about the pay raises BUT it does prove Luis Saenz lied or at least tried to hide the fact he DID sale the 8 liner machines after he said he wasn't. What happened to the sweepstake monitors?

Your statement misses the story and indicates a lack of understanding. A lie is when you say something you have no intention of doing.

There is no proof anywhere he never intended to carry out his promise. Masso told me that another city may have had problems with the EPA when they tried to smash the machines - so this is true.

Saenz probably did not know about the EPA issues.

His choice was simple - spent tax payer money to destroy them in compliance with EPA standards - or get $100,000.

He will have to explain this for a long time. Some people will understand he made a smart business decision concerning the taxpayers money and some people will see it as a lie.

On the proceeds - and this came out in the Villalobos trial - the various agencies typically split the proceeds.

On Montoya's open records request he failed to understand this - saying Saenz was going to take the lead in prosecuting the cases after the 18 month investigation which began before Saenz took over does not mean the other agencies were no longer involved. The press releases showed them at nearly all of the raids so they were still clearly involved.

Montoya did not phrase the request correctly - Saenz could not answer for what other agencies may have done with machines

The request should have been clearly limited to those taken into custody by Saenz since he began his current terms, over which Saenz had exclusive control.

This would have eliminated the confusion.

I do not think Saenz tried to hide the fact the machines were sold - I had no problem finding out the ones under his control were sold and I had no problem getting the contract.

Do you think Saenz would have given me that contract had he realized the bombshell it presented.

Someone on his staff messed up big time and Saenz trusted them.

Hopefully they will be fired by the end of the day. He has a short time frame to fire this person before people can rightfully believe he knew what was happening.

No one believes Saenz would have knowingly done business with these people had he known about the Masso connection - now as to Rick Zayas I do not know.

But the story is how through extreme incompetence by a staff member Rick Zayas was able to lead them to believe they were doing business with a company which gave up their right to do business in Texas in 2006, when in fact the owners of this company are the same who own the gaming companies in Brownsville.

You cannot prove a lie - just assume it - but you can prove the 8 Liners were effectively sold to people who own two gaming companies in Brownsville, Texas.

This is a huge mistake. The contract is so poorly written it literally allows the buyers to turn the truck around after crossing into LA and come right back to Texas.

The no damages clause is bizarre.

The fact there is no clause concerning the joint drafting of the contract is bizarre - it goes to a legal point as to interpretation of the contract.

The fact there is no savings clause is bizarre

The fact there is no representation by the buyers that they will not knowingly do business with any company doing business in Texas is bizarre

It is just all bizarre

You cannot prove any lie - but you can prove all of the above and that should be enough to get the feds in fast and Saenz into civil court suing these people.

The feds need to track down everyone of those machines and if just one was brought back to Texas - the owners need to go to federal prison along with Rick Zayas.
